Contract analysis

Contract analysis: digitise your framework contracts and rate schedules so they can finally be checked

Contract analysis with Zylio means reading your framework contracts, amendments and unit price schedules, whatever their format, and extracting every price clause, every schedule and every revision rule. The result is a digital reference, linked to the source document, against which your quotes, orders and invoices can then be checked line by line.

The problem

A contract a machine cannot read is a contract nobody checks

The framework contract is the document that governs: it says which price is due, which discount applies and on which date the revision takes effect. Yet it lives outside the information system. The ERP knows the purchase order and the invoice; the contract is a PDF in a shared folder, sometimes a scan, sometimes a spreadsheet sent over by the supplier. Without a structured reading, no systematic control is possible.

Formats make it worse. A single portfolio mixes contracts drafted by your legal team, supplier terms and conditions, rate schedules attached as annexes running to several hundred lines, and amendments that change three references out of a thousand. Each document has its own structure, units and wording. Comparing them with one another, or with an invoice, means retyping everything.

The result is control by sampling, by hand, on the most visible invoices. Gaps on small lines, badly computed revisions and forgotten special conditions slip through month after month. And when a gap is finally spotted, someone has to find the clause in the document to prove it, which usually takes longer than the gap is worth, so it is let go.

What is extracted

What the Capture agent reads in a framework contract

Everything in the text that conditions a price or a quantity, wherever it sits. Nothing that is useless for control.

  • Price clauses

Unit prices, lump sums, hourly rates, capped amounts: each value with its unit, its currency and its validity period, exactly as the contract states it.

  • Schedules and BPUs

The unit price schedule (BPU in French procurement) line by line: reference, description, unit, price. 12,000+ price lines per framework contract, pricing rules included.

  • Revision rules

Reference index, formula, effective date, cap, notice period: enough to recompute the expected price on any service date, not only at signature.

  • Discounts and tiers

Volume discounts, sliding scales, year-end rebates, free-delivery thresholds: the conditions that depend on a running total rather than on a single line.

  • Special conditions

Surcharges for urgency or out-of-hours work, permitted ancillary costs, included services: everything that justifies or forbids an extra line.

  • Amendments

Each amendment is attached to the contract it changes, with its effective date, so that the right version applies to the right invoice.

How it works

From scanned page to checkable reference

The Capture agent receives the document by upload, dedicated mailbox, SFTP or export, and reads it whatever its format: native PDF, scan, photo, spreadsheet. It recognises the structure of the contract, separates the body from the annexes, finds the price tables even when they span several pages, and extracts every line. Each extracted value stays linked to the exact place in the document where it was read, with a confidence score.

The values are then normalised and attached: to the supplier, to the purchasing category, to the validity period, to the amendment that changes them. A unit written as “linear metre” and one written as “lm” become the same thing; a reference spelled two ways is recognised as one. This is the work that makes the contract comparable with an order or an invoice.

Whatever could not be read with certainty is not guessed: it is flagged, with the page concerned, for a person to decide. The final reference is visible, sourced and exportable. It is ready to be used by the Compliance agent to check every quote, order and invoice against the signed text, but that check is described on its own page.

What the reference becomes: checking that agreements are honoured

Prices, volumes, revisions, penalties: every invoice checked against the contract.

The process

Three steps, without changing your tools

  1. 01

    Gather

You upload the contracts, amendments and rate schedules, or tell us where they are stored. No prior sorting, no imposed format, no template to fill in: documents are taken as they exist today.

  2. 02

    Read and structure

Each document is read, its clauses and schedules extracted, its values normalised and attached to the right supplier and period. Uncertain cases are listed for review, with the page they come from.

  3. 03

    Validate

You review the reference, clause by clause if you wish, each value next to its source in the original document. Once validated, it becomes the reference for every subsequent check.

What changes

What changes once your contracts are readable

Exhaustive control becomes possible. As long as the contract is a PDF, you check by sampling; once it is a structured reference, every invoice can be checked against it, at the line level. That is what moves you from a few invoices reread each month to 5% to 100% of your purchases checked, depending on the scope you choose, without adding headcount.

Teams stop retyping. The time spent looking for the right version of the schedule, finding the revision clause or copying a price table into a spreadsheet goes back to negotiation: 15% to 45% of time returned to teams, per FTE, depending on scope and data maturity.

The portfolio becomes queryable. Which contracts are coming up for renewal? Which ones contain an indexation clause on a given index? What price did we negotiate for this reference with three different suppliers, and when? These questions get an answer in minutes, with the source of every figure, instead of a week of searching through folders.

What we do not do

What contract analysis does not do

Zylio does not draft your contracts, does not modify them and does not sign them. It does not touch your ERP and injects nothing into it: the reference lives alongside, and you export it if you wish. Your contractual documents are hosted in France, never shared between customers, never used to train a model. Every reading, every correction and every validation is logged.

Each extracted value stays linked to the exact place in the document where it was read. Nothing is guessed, nothing is hidden.

Capture

Gather and consolidate all your procurement data.

Collection by dedicated mailbox, upload, SFTP, scan, API or ERP export. Reads every format (native PDF, scan, photo, spreadsheet, structured feed), then extracts line by line: supplier, references, quantities, unit prices, discounts, taxes, terms.

The end of re-entry. A procurement history you can finally query.

What Capture detects

  • Long documents and multi-page tables
  • Unknown layouts
  • Several languages and currencies
  • Poor scans and handwriting

Nothing is lost. Everything can be checked, everything can be proven.

  • The contract clause and the invoice line, highlighted side by side.
  • Every extracted value stays linked to the exact place in the document where it was read.
  • The same case produces the same decision, today as in six months: the rules are applied deterministically.
  • No discrepancy is set aside in silence. Anything that matches no rule is raised, with its reason.
  • The agent records what it did, in the order it did it: who, what, how much, when.

Frequently asked questions

What is the difference between contract analysis and OCR?

OCR turns an image into text. Contract analysis goes further: it recognises the structure of the document, identifies the clauses that condition a price, extracts the schedules line by line, normalises units and attaches each value to its supplier, its period and its amendment. The result is a reference, not a text.

What happens if a clause is ambiguous or badly scanned?

It is not guessed. The value is flagged with a low confidence score and the page concerned, and a person decides what it says. This review is faster than data entry: you verify a value next to its source instead of retyping it from scratch, and your correction is logged.

How many contracts and lines can Zylio absorb?

The platform processes 10,000+ supplier documents a week, across every format, language and structure, and 12,000+ price lines per framework contract, pricing rules included. The size of your portfolio is not the limiting factor; the quality of the source documents sometimes is, and we tell you when it is.

Can the extracted reference feed our ERP or procurement tool?

It is exportable in a structured format, and you decide what to do with it. Zylio never writes into your ERP on its own: it reads its exports or its API, and you remain in charge of any integration back into your systems, with your IT team.
