Standardizing contracts
Standardizing contracts: bring every contractual document into one common structure you can compare and query
Standardizing contracts means bringing documents drafted by dozens of suppliers, in as many formats, into a single structure: same sections, same units, same naming. Zylio does it from the signed text, without rewriting it, keeping for every value the link to its source. Your contracts become comparable with one another and searchable in one move.
The problem
A hundred suppliers, a hundred ways of writing the same clause
A portfolio of supplier contracts has no format. Each document was drafted by a different party, at a different time, on a different template. The revision clause sits in an article in one, in an annex in another, and is missing from the third because it lives in the general terms. Prices are per kilo, per tonne, per linear metre; lead times in working or calendar days; discounts as a percentage or as an amount.
That heterogeneity costs you every time you use the portfolio. Comparing two contracts to prepare a renegotiation, finding every agreement that expires within six months, knowing which indexation applies to a given purchasing category: each question means opening the documents one by one and rereading them from the first page. Teams rarely do it, for lack of time, and decide on what they remember, which is rarely the latest amendment.
Standardizing is not rewriting. The signed text remains the only one that governs, and it is never altered. What is standardized is the representation: the same information, stored in the same places, expressed in the same units and the same vocabulary, for every contract in the portfolio. That is what Zylio does, and it is what then makes comparison, search and line-by-line control possible.
Quotes, rate schedules, catalogues: one common format beyond contracts.
The common format
What a standardized contract contains
Six sections, always the same, whoever the supplier or the original drafter was.
Identity
Parties, subject, signature date, term, signing entity, internal reference: what lets you find the contract and attach it to the right supplier.
Scope
Purchasing categories, sites or entities covered, services included and excluded: what says whether a given expense falls under this contract or another.
Pricing terms
Prices, schedules and rate lists brought to common units and currencies, discounts and tiers expressed the same way everywhere, whatever the supplier wrote.
Change rules
Revision, indexation, formula and index, effective date, cap: in a single naming convention across every contract.
Commitments
Minimum volumes, delivery lead times, service levels, penalties and bonuses, each with its calculation method and the event that triggers it.
Lifecycle
Expiry, notice period, tacit renewal, amendments attached with their effective date: what lets you follow the contract over time.
How it works
How a contract is brought into the common format
The Capture agent starts by reading the document and recognising what it is: framework contract, general terms, amendment, rate schedule, technical annex. It identifies its own structure, its articles and its tables, then locates in the text the information that belongs to each section of the common format, wherever it sits. A revision clause buried in a paragraph of general terms is captured just like one in a dedicated article.
Each piece of information is then expressed in the common naming convention. Units are converted, currencies brought to the one in your reference data, purchasing category labels aligned with your classification, item descriptions matched to your references. A discount granted above an annual threshold and a year-end rebate by tier become the same type of rule, with the same fields. No value loses the link to the exact place in the document where it was read.
A consistency check completes the work: an expiry date earlier than the signature, a price without a unit, a revision without an index are flagged. Uncertain cases are listed for a person to decide, and every correction is logged. The standardized contract is versioned: when an amendment arrives, a new version is produced and the previous one stays available.
What the Capture agent extracts from a framework contract before standardizing it.
The process
Three steps for a whole portfolio
- 01
Classify
Documents are gathered, recognised and sorted by type and by supplier, including the annexes and amendments scattered across several folders.
- 02
Bring into format
Each contract is brought into the six sections of the common format, its values converted and aligned with your naming conventions, its inconsistencies flagged.
- 03
Validate and version
You review what was flagged, each value next to its source. The standardized contract is validated, versioned, and joins the reference data.
What changes
What changes when every contract has the same shape
Comparing becomes a single move. The terms of three suppliers on the same purchasing category read side by side, section by section: prices brought to the same unit, revisions on the same index or not, comparable penalties and notice periods. Preparing a renegotiation no longer means rereading three contracts, but looking at one table, with the source of every value one click away.
Searching becomes possible. Which contracts expire before the end of the year? Which contain a tacit renewal with a six-month notice period? Which index their prices on an index that has just jumped? These questions sweep the whole portfolio in seconds, because the information sits in the same place in every contract, whoever drafted it.
Control becomes exhaustive. A standardized contract is a contract the agents can check every invoice against. It is the foundation for moving from control by sampling to 5% to 100% of your purchases checked, depending on the scope you choose, and for giving teams back the time spent rereading: 15% to 45% of time returned, per FTE, depending on scope and data maturity.

What we do not do
What standardization does not change
Zylio does not rewrite your contracts, does not change a comma in them and does not produce a new legal version. It does not replace your contract management tool and does not touch your ERP: the standardized reference lives alongside, exportable whenever you decide. Your documents are hosted in France, never shared between customers, never used to train a model. Every reading and every validation is traced.
The signed text remains the only one that governs. Zylio standardizes the representation, never the commitment.

Capture
Gather and consolidate all your procurement data.
Collection by dedicated mailbox, upload, SFTP, scan, API or ERP export. Reads every format (native PDF, scan, photo, spreadsheet, structured feed), then extracts line by line: supplier, references, quantities, unit prices, discounts, taxes, terms.
The end of re-entry. A procurement history you can finally query.
What Capture detects
- Long documents and multi-page tables
- Unknown layouts
- Several languages and currencies
- Poor scans and handwriting
Nothing is lost. Everything can be checked, everything can be proven.
- The contract clause and the invoice line, highlighted side by side.
- Every extracted value stays linked to the exact place in the document where it was read.
- The same case produces the same decision, today as in six months: the rules are applied deterministically.
- No discrepancy is set aside in silence. Anything that matches no rule is raised, with its reason.
- The agent records what it did, in the order it did it: who, what, how much, when.
Frequently asked questions
What is the difference between standardizing a contract and analysing it?
Analysis reads a contract and extracts its clauses and schedules. Standardization comes next: it stores that information in a format common to all your contracts, with the same sections, units and naming conventions. The first makes one contract checkable against invoices; the second makes a whole portfolio comparable and searchable.
Is the common format imposed, or adapted to our organisation?
The six sections are common, but the naming conventions are yours: your purchasing category classification, your item references, your reference currency, your entities and sites. The format is adjusted with you at the start, then applied identically to every new contract that comes in, so that the portfolio stays consistent over time.
What happens to a contract when an amendment changes it?
The amendment is attached to the contract with its effective date, and a new standardized version is produced automatically. The old one stays available, so you can know which terms applied to a given invoice on its date, and not only the terms in force today. Nothing is overwritten.
Can we standardize contracts written in several languages?
Yes. Contracts in French, English, Spanish or other languages are brought into the same format and the same naming conventions, in the same reference data. Values keep their link to the original text in the language of the document, so that review always happens on the source, never on a translation.
